Terms of Service & Licence Agreement

1. About Us

Codiko (“the App”) is developed and operated by Apoko Ltd, a company registered in England and Wales (Company No. 13267255).

2. Agreement

By downloading, installing, or using Codiko you agree to these Terms of Service and Licence Agreement (together, “these Terms”). If you do not agree, please do not use the App.

These Terms do not affect any statutory rights you have as a consumer under the laws of your country.

3. Licence

Codiko is licensed, not sold. A valid licence key grants you a personal, non-exclusive, non-transferable licence to install and use the App on up to two (2) devices owned or controlled by you, for your own individual use, including both personal and commercial writing projects.

For the avoidance of doubt: you may freely publish, sell, and commercially exploit any books, manuscripts, or other creative works you produce using Codiko. The licence relates to the software itself, not to your creative output.

Each licence includes 12 months of updates from the date of purchase. After this period, you may continue using the last version you were entitled to, subject to system compatibility and these Terms. You simply will not receive subsequent feature updates unless you purchase an update renewal.

4. Ownership of Your Work

You retain all rights you already have in the content you create or import into Codiko. Apoko Ltd does not claim ownership of your manuscripts, characters, timelines, notes, world-building, or other creative content.

You are responsible for ensuring that you have the necessary rights or permissions to import, use, or submit content to third-party services.

Codiko, its software, source code, design, documentation, branding, and associated intellectual property remain the property of Apoko Ltd and its licensors. All rights not expressly granted in these Terms are reserved.

5. Trial

A 14-day free trial is available. The trial includes full access to Codiko’s writing, planning, and AI features, with the exception of file export and a limit of two projects. No credit card is required. We encourage you to use the trial to evaluate whether Codiko is right for you before purchasing.

After the trial expires the App enters a permanent read-only mode. You can continue to open and view your projects, but editing, AI features, and export require a valid licence key. Your project files remain stored on your device and are not deleted by Codiko.

6. Purchases & Refund Policy

Purchases are processed by Lemon Squeezy, which acts as Merchant of Record. Lemon Squeezy’s Buyer Terms also apply to your purchase and govern the payment transaction.

Where applicable, immediate access to digital content may affect your statutory right to cancel or withdraw from a purchase. Any such rights are governed by applicable law and Lemon Squeezy’s Buyer Terms. Nothing in these Terms limits your statutory rights in relation to faulty, misdescribed, or otherwise non-conforming digital content.

If you experience a technical issue that prevents you from using Codiko, please contact us at [email protected]. We will make reasonable efforts to resolve the issue and, where appropriate, arrange a refund through Lemon Squeezy. Once issued, refunds may take up to 10 days to appear on your payment statement.

Nothing in this refund policy affects any statutory rights you may have under applicable consumer law, including, for UK consumers, rights under the Consumer Rights Act 2015.

7. AI Features & Third-Party Providers

AI features in Codiko require either a third-party API key (e.g. OpenAI, Anthropic) or a local model setup (e.g. Ollama). You are responsible for any costs charged by your chosen AI provider. Codiko does not charge separately for AI usage and does not add any markup to provider costs.

Third-party AI services are governed by their own terms of service and privacy policies. Codiko does not control and cannot guarantee the availability, pricing, accuracy, or content of third-party AI services. You are responsible for ensuring your use of AI providers complies with their respective terms, including ensuring you have the necessary rights or permissions to submit content to those providers.

AI-generated content may contain errors, inconsistencies, or inaccuracies. You should review all AI output before relying on it. Codiko is not responsible for the content, quality, or suitability of AI-generated output.

8. Your Data

Codiko stores your creative project data in project files at a location you choose. Apoko does not provide cloud storage for your manuscript or creative project data, and Codiko does not transmit that data to Apoko. If you choose to store your project files in a folder synced by a third-party service such as iCloud or Dropbox, that service may also store or process those files under its own terms and privacy policy.

When you use cloud AI providers, queries are sent from your device to your chosen provider. Your chosen provider’s terms and privacy policy govern its processing of those queries. Our Privacy Policy explains the limited data Codiko and Apoko process separately.

The App may communicate with our services for licence validation, update checks, and other essential application functionality as described in our Privacy Policy. No manuscript content or creative data is transmitted to us during these communications.

If you voluntarily send us project files, chat logs, or other creative content for support or troubleshooting (for example, via the in-app debug report feature or by email), we will use that content only to provide the support or troubleshooting you requested. It will only be disclosed to service providers where necessary to provide that support, as described in our Privacy Policy.

9. Prohibited Use

You may not:

  • Reverse-engineer, decompile, or disassemble the App, except to the extent expressly permitted by applicable law
  • Share, resell, sublicense, or redistribute your licence key
  • Use the App for any unlawful purpose
  • Attempt to circumvent, disable, or interfere with the licensing, trial, or activation system
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the App

10. Liability

Nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded or limited, including your statutory rights as a consumer.

Codiko is desktop software and relies in part on your computer, operating system, and optional third-party services. We cannot guarantee uninterrupted operation of third-party AI providers, internet services, or compatibility with operating-system versions that Codiko does not currently support.

You are responsible for maintaining appropriate backups of your project files. Codiko includes safeguards intended to protect your work, but no software or storage device is completely immune from failure. We strongly recommend maintaining regular independent backups.

Apoko Ltd is not responsible for losses caused solely by third-party services or events outside our reasonable control. Nothing in this paragraph excludes liability where the loss results from our breach of contract, negligence, or another liability that cannot lawfully be excluded.

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot legally be excluded or limited

If you are a UK consumer, Codiko must meet the statutory requirements applicable to digital content, including being of satisfactory quality, fit for a particular purpose where that purpose has been made known to us, and as described. Your statutory remedies are unaffected by these Terms.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

If you are a consumer, this does not affect any mandatory rights you have under the laws of your country of residence, or your right to bring proceedings in any court available to you under applicable law.

If you are acting as a business, you agree to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available at this URL.

For any material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you (for example, via email or an in-app notice) at least 30 days before the changes take effect. Where a change requires your consent under applicable law, we will ask for it.

Updates to these Terms will not retrospectively remove or materially reduce rights attached to a licence you have already purchased. For example, a licence sold as a one-time purchase will not be changed to a subscription requirement after the fact.

Continued use of the App after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree with the updated Terms, you should stop using the App. Your project files remain yours regardless.

13. Termination

We may suspend or terminate your licence if you materially breach these Terms. Where reasonable, we will give you an opportunity to remedy the breach before termination. We may act immediately in cases of fraud, licence-key abuse, circumvention of licensing systems, or other serious misuse.

In the event of termination, your right to use the App ceases, but your creative content and project files remain on your device and are unaffected.

14. Entire Agreement

These Terms, together with our Privacy Policy and (where applicable) Lemon Squeezy’s Buyer Terms, constitute the entire agreement between you and Apoko Ltd regarding the use of Codiko.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
